These Terms of Service ("Terms") govern your use of the Nearer application and website at nearer.io ("Service"), operated by General Utility LLC, doing business as Nearer ("Nearer," "we," "us," or "our").
By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
Nearer is a personal productivity application that helps users organize and work toward their goals through lists, cards, routines, and flashcard review. The Service is provided on a subscription basis with a free trial period.
You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at ops@nearer.io if you suspect unauthorized access.
You must be at least 13 years old to use the Service.
Some features of Nearer require a paid subscription. By subscribing you authorize us to charge your payment method on a recurring basis at the then-current rate. All payments are processed by Stripe.
You may cancel your subscription at any time through the billing portal accessible from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.
We do not offer refunds for partial billing periods except where required by law.
New accounts may receive a free trial period. At the end of the trial your account will revert to the free tier or require a subscription to continue accessing paid features. We reserve the right to modify or discontinue trial offers at any time.
You retain ownership of all content you create in Nearer — your lists, cards, and notes. You grant us a limited license to store and process that content solely to provide the Service to you.
You are responsible for ensuring your content does not violate any applicable laws or third-party rights.

The Nearer name, logo, design, software, and all related intellectual property are owned by General Utility LLC. Nothing in these Terms grants you any right to use our intellectual property other than to use the Service as described here.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEARER AND GENERAL UTILITY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You may close your account at any time by contacting us at ops@nearer.io. We may suspend or terminate your account if you violate these Terms or if we discontinue the Service, with reasonable notice where practicable.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming.
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
